Who Are We?

The Mid-Missouri Traditional Dancers is a not-for-profit organization, affiliated with the Country Dance and Song Society. The purpose of the association is to enhance the experience of, the understanding of, and participation in traditional dance.

Bylaws of Mid-Missouri Traditional Dancers

Article 1. Name

The name of this organization is the Mid-Missouri Traditional Dancers (MMTD).

Article 2 Offices

The principal office of MMTD in the State of Missouri shall be located in Columbia, Boone County, Missouri. The registered office required to be maintained in the State of Missouri by the General Not-for- Profit Corporation Act of Missouri may be, but need not be, identical with the principal office. The address of the registered office may be changed from time to time by the Board of Directors.

Article 3 Purpose

Section A

MMTD is a nonprofit educational organization which is dedicated to the preservation, study, teaching, enjoyment and continuing evolution of traditional and historical dance, music and song.

Section B

The primary activities of MMTD are to stimulate and encourage the development of traditional dance and music in Missouri; to foster interest in and preserve the cultural heritage of traditional dance and music in Missouri; to bring to the attention of civic authorities, business leaders and government, the needs of the traditional dance community; and to act as a clearinghouse for dance and music information throughout the state.

Section C

MMTD subscribes to the general purposes of The Country Dance and Song Society, Inc.

Article 4 Membership

Section A

All persons interested in dance and music are eligible to become members of MMTD.

Section B

Payment of Admission to a MMTD semi-monthly dance within the past year constitutes payment of dues.

Section C

Members are entitled to attend general and special meetings; to vote on all questions coming before the membership; to serve on the Board of Directors, to hold office and serve on standing or special committees.

Section D

Members are welcome to attend meetings of the Board and to participate in discussions on matters before the Board, but may not vote on matters before the Board.

Article 5 Board of Directors

Section A

The responsibility for all MMTD business matters lies with a Board of Directors consisting of not less than five nor more than fifteen directors including Officers and Chairpersons of standing or special committees. Each director shall serve a term of one year.

Section B

Vacant positions on the Board of Directors will be by a member's election held at the annual meeting. Members may make nominations to the Board by mail, e-mail, or from the floor at the annual meeting. Nominees must consent to their nomination. The number of Board vacancies to be filled shall be determined by the Board. Each member may cast as many ballots as there are Board vacancies to fill.

Section C

The Board shall determine the need for, and the responsibilities of, standing or special committees to carry out projects or special programs; and shall establish such committees as needed.

Section D

In the event of a vacancy among the directors, the remaining Board members may exercise the powers of the full Board until the vacancy is filled at the next regular election, or may appoint a member to temporarily fill the vacancy until the next election.

Section E

A member of the Board may be removed from office for frequent absence from meetings, or for cause, following reasonable notice and opportunity to be heard, subject to a majority vote of MMTD membership or by two-thirds majority vote of the Board.

Section F

Dance and music leaders, whether or not they are members, may attend meetings for the purposes of advising or receiving suggestions from the Board concerning MMTD programs.

Article 6 Officers

Section A

The officers of the Board shall consist of a President, Vice-President, Treasurer, Secretary, Dance Weekend Chairperson elected by and from the Board immediately following the MMTD annual meeting. An assistant Dance Weekend Chairperson may be elected at the Board's discretion. Term of office is one year.

Section B

The duties of officers will be such as usually pertain to their respective offices and as described in Attachment A.

Article 7 Meetings of the Board

Section A

The Board of Directors shall hold meetings as needed. Special meetings may be called by the Chairman or on written request of three members of the Board.

Section B

A majority of the Board shall constitute a quorum. A simple majority of those present is required to transact business except as noted elsewhere in these bylaws.

Section C

Board meetings should be open to all MMTD members.

Section D

An annual Board meeting will be held for the purpose of electing officers and to transact any necessary business.

Article 8 Meetings of Members

Section A

An annual membership meeting shall be held in the first month of the fiscal year at a time and place designated by the Board for the purpose of electing Board members and transacting any necessary business.

Section B

Special meetings of the membership may be called by the President at his or her discretion, at the direction of the Board, or at the written request of at least ten members. Notices of special meetings shall state the purpose of such meeting and the matters to be considered.

Section C

At least one month's notice of the annual or any special meeting shall be given, except in cases of emergency.

Section D

A majority vote of those voting is necessary to transact any business brought before the membership, except as otherwise noted in these bylaws.

Section E

Each individual member shall have one vote. A simple majority of individual members present is necessary to transact business brought before the membership.

Article 9 Fiscal Policies

Section A

The fiscal year shall be from July 1 through June 3O.

Section B

The books and accounts may be subject to an independent audit at the discretion of the Board. All agents handling funds may be bonded at the discretion of the Board.

Article 10 Amendments

These Bylaws may be amended by a two-thirds vote of those present at any regular or special meeting of the members. A quorum must be present and a copy of the proposed amendment must be distributed to members at least one month prior to the date of the meeting.

Article 11 Miscellaneous

Section A

No part of the organization's assets or net earnings may inure to the benefit of any individual. This does not preclude the payment of reasonable amounts for goods or services provided to the organization.

Section B

Upon dissolution, the assets of the organization shall be distributed to the Country Dance and Song Society, Inc. or to another nonprofit organization that is exempt under section 501 (c) (3) of the Internal Revenue Code.

Section C

The organization shall not, as a substantial part of its activities, carry on propaganda or otherwise attempt to influence legislation, except to the extent permitted by section 501(h) of the Internal Revenue Code. Nor shall it participate to any extent in any political campaign for or against any candidate for public office.

Section D

It is intended that the organization shall be entitled to exemption from Federal income tax under section 50l(c)(3) of the Internal Revenue Code and shall not be a private foundation as described in section 501 (a) of the Code.

Attachment A: Duties of Board Officers

President

The President is the public face of MMTD and executive of the Board. As such, the president may preside over meetings; sign agreements that obligate MMTD; and represent MMTD at official functions

Vice-President

The Vice-President shall act in the president's stead should the president be absent or unable to perform a particular function. The Vice-President may assume the duties of President if approved by the Board per Bylaws Article 6.

Secretary

The Secretary records, prepares, and disseminate minutes of Board meetings and other official MMTD business. The Secretary may be responsible for MMTD publicity and media outreach if so assigned by the Board

Treasurer

The Treasurer disburses funds for MMTD activities; maintains financial records; represents MMTD to financial institutions; and presents financial reports at Board and Membership meetings.

Dance Weekend Chair

The Dance Weekend Chairperson coordinates and oversees the Spring Breakdown dance weekend including developing a budget for the event to be approved by the Board, and proposing changes to this budget as needed. Once the dance weekend budget and changes are approved, the Chairperson has authority to disburse funds in accordance with the budget. The Chairperson will report such spending to the Treasurer but need not seek prior approval for every disbursement or financial agreement related to the dance weekend. The Chairperson may sign contracts and otherwise obligate MMTD for expenses and services directly related to the Spring Breakdown dance weekend.

Assistant Dance Weekend Chair

The Assistant Dance Weekend Chair may be elected at the Board's discretion to help coordinate and oversee the Spring Breakdown dance weekend. The Assistant may become Dance Weekend Chair for the next year's event.
